Terms of Service

These Terms of Service ("Terms") govern your use of CleanupOwl (the "Service") provided by Pinsaar Software Technologies Private Limited ("Pinsaar", "we", "us").
By creating an account, purchasing a plan or using the Service, you agree to these Terms.
For these Terms:
- Customer = the business owner or entity that has purchased or is evaluating CleanupOwl.
- Customer Data = all data and content that you submit or connect to the Service (including QuickBooks Online data).
1. Eligibility and Accounts
You must be at least 18 years old and able to enter a binding contract. You are responsible for:
- Providing accurate account information and keeping it updated;
- Safeguarding your login credentials; and
- All activity under your account.
Notify us promptly of any unauthorized access or security issue.
2. License and Acceptable Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
You must not:
- Reverse engineer or attempt to derive the Service's source code (unless permitted by law).
- Circumvent technical protections or usage limits.
- Use the Service to build or train a competing product.
- Use the Service for any unlawful purpose or to store or transmit unlawful content.
- Interfere with the Service's operation or security.
- Share, resell or sublicense access to the Service without our written consent.
All rights not expressly granted are reserved by Pinsaar.
3. Customer Data
You retain ownership of Customer Data.
You are responsible for:
- The accuracy, quality and legality of Customer Data;
- Obtaining any necessary rights and consents to submit Customer Data; and
- Your compliance with applicable laws and regulations.
You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process and transmit Customer Data as needed to provide, maintain, secure and improve the Service. We may also generate aggregated and/or de-identified data that does not identify you, which we may use for any lawful purpose.
We do not use Customer Data to train general-purpose AI models for third-party use.
4. Service Outputs and Your Responsibility
CleanupOwl scans your QuickBooks Online for issues and can apply fixes with your approval.
Important Disclaimer
- Our scans and fixes may be incomplete or inaccurate.
- We do not guarantee that all issues will be detected or that fixes will be error-free.
- You are solely responsible for reviewing and approving all fixes before they are applied.
- CleanupOwl does not replace professional accounting, tax or legal advice.
You should independently verify results and consult with qualified professionals for accounting, tax or legal matters.
5. Plans and Pricing
CleanupOwl offers various plans including:
- Free Plan – Unlimited scans with up to 10 fixes per month.
- Paid Plans – Monthly subscriptions (Feather, Starter, Clean'em All, All Access Pass) with more fixes and companies.
Plan details, pricing and features are as described on our website and may change. We will provide reasonable notice of material changes.
6. Fees, Payments and Taxes
You agree to pay all fees for the plans and services you purchase.
- Subscription fees are billed in advance per billing period.
- Our billing is handled by Dodo Payments, acting as merchant of record. Your payment statements may show Dodo Payments or an affiliate.
Fees are exclusive of taxes. You are responsible for any applicable taxes (other than our income taxes).
7. No Refunds Policy
All Sales Are Final
Due to the nature of our service—which involves significant third-party API costs, infrastructure expenses, and the immediate delivery of digital services—all purchases are final and non-refundable.
This includes:
- Monthly subscription fees (including partial months)
- Any add-ons or upgrades
We strongly encourage you to use our free scan to evaluate the Service before making any purchase. This allows you to see exactly what issues we detect and what fixes are available.

8. Subscription Cancellation
For monthly subscriptions (All-Access Pass):
- You may cancel at any time through your account settings or by contacting support.
- Cancellation takes effect at the end of your current billing period.
- You will retain access until the end of the paid period.
- No refunds or credits are provided for partial months or unused time.
9. Service Changes and Availability
We may modify the Service (including features, plans and pricing) and may discontinue features or integrations. We aim not to materially degrade core functionality, but we do not guarantee specific features will remain.
The Service may be unavailable due to maintenance, outages or events outside our control.
10. Confidentiality
Customer Data and non-public Service information are confidential. We will:
- Use confidential information only for purposes consistent with these Terms;
- Protect it with at least reasonable care; and
- Not disclose it except to personnel and providers who need to know and are bound by confidentiality, or as required by law.
11. Data Protection and Security
We use reasonable technical and organizational measures to protect Customer Data against unauthorized access, use or disclosure.
- For US Customers, we host primary application data in data centers located in the United States, subject to reasonable exceptions.
- For other Customers, data may be processed in India or other jurisdictions as described in our Privacy Policy.
You are responsible for your own access controls and compliance with applicable laws.
12. Warranties and Disclaimers
The Service is for business use by business owners and authorized users.
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", and we disclaim all warranties, express or implied, including:
- Merchantability and fitness for a particular purpose
- Accuracy, completeness or reliability of outputs
- That the Service will detect all issues in your books
- That fixes will be error-free or meet any specific standard
- Non-infringement
We do not provide accounting, tax or legal advice. You are responsible for your own business decisions and compliance.
13. Limitation of Liability
To the maximum extent permitted by law:
- We and our affiliates, officers, employees and suppliers are not liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for lost profits, revenues, data or business opportunities, even if advised of the possibility.
- Pinsaar's total aggregate liability for all claims arising out of or related to these Terms or the Service is limited to the greater of (a) $50 USD or (b) the total amount paid by you to Pinsaar for the Service in the one (1) month before the event giving rise to the claim.
These limitations apply even if a remedy fails its essential purpose.
14. Indemnification
You will indemnify and hold harmless Pinsaar and its affiliates, officers, directors and employees from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service;
- Customer Data (including any claim that Customer Data violates law or third-party rights);
- Your breach of these Terms or applicable law; or
- Any actions taken in your QuickBooks Online based on the Service's outputs.
15. Term, Termination and Suspension
These Terms apply while you use the Service and have an active account.
- Either party may terminate for material breach if not cured within 30 days after written notice.
- We may suspend or terminate access if you fail to pay, violate these Terms, or use the Service in a way that is unlawful or harms the Service or others.
- We may terminate your account for any reason with 30 days notice.
On termination, your right to use the Service ends, fees already due remain payable (with no refunds), and we may delete Customer Data in line with our retention policies.
Sections that by nature should survive (including fees, no refunds, confidentiality, disclaimers, limitations of liability, indemnification and jurisdiction) will survive termination.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
- All disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the courts in Mumbai, India, and you consent to such jurisdiction and venue.
- To the extent permitted by law, disputes must be brought only on an individual basis, not as part of a class or representative action.
17. Changes to Terms
We may update these Terms. The "Last updated" date shows when they were last changed. Continued use of the Service after changes means you accept the updated Terms.
You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a corporate transaction. If any provision is held invalid, the rest remain in effect.
